These Terms and Conditions ("Agreement") govern the provision of content creation, production, editing, and marketing services by Atlaz Media ("we," "our," or "us") to the individual or entity ("Client") who engages our services. By hiring us or using our website, you agree to the following terms:
1. Definitions
1.1. “We,” “Us,” or “Our”
Refers to Atlaz Media, a creative content and media agency specializing in video production, photography, social media strategy, and brand growth.
1.2. “Client”
Refers to any individual or business entity that engages with Atlaz Media for creative, content, or marketing services.
1.3. “Services”
Refers to all offerings provided by Atlaz Media, including but not limited to filming, video editing, photography, social media content planning and posting, creative strategy, funnel design, and performance tracking.
2. Scope of Services
2.1. Atlaz Media provides content-focused services aimed at enhancing your brand’s visibility, digital presence, and conversion rates through high-quality visuals and marketing content.
2.2. All services are tailored to the client’s needs and may include custom deliverables such as videos, photos, captions, scheduling, performance reviews, or strategy consulting.
3. Client Responsibilities
3.1. Clients agree to provide all necessary brand assets, creative direction, login credentials (when needed), and timely communication to enable us to complete projects efficiently.
3.2. Delays in response or asset delivery may result in project delays or rescheduling fees.
4. Payment and Fees
4.1. Fees for services will be outlined in your proposal, estimate, or contract. Payment terms, including deposits and remaining balances, must be honored to avoid service interruptions.
4.2. Accepted payment methods and any late fees or additional charges will be clearly stated in the proposal or invoice. All retainers are non-refundable.
5. Confidentiality
5.1. Both parties agree to maintain the confidentiality of all proprietary materials, strategies, and sensitive information shared throughout the project.
5.2. Atlaz Media will not share client content, data, or behind-the-scenes material without prior written consent, unless used for agreed-upon promotional purposes (e.g., portfolio showcase).
6. Intellectual Property
6.1. Unless otherwise agreed in writing, all original video, photo, and content assets created by Atlaz Media remain our intellectual property until final payment is made.
6.2. Upon full payment, the client is granted a non-exclusive license to use the final deliverables for their intended purpose.
6.3. Raw project files and unused footage are not included in deliverables unless separately negotiated.
7. Termination
7.1. Either party may terminate this agreement with written notice. If termination occurs after work has commenced, the client is responsible for payment of all completed work up to that date.
7.2. Atlaz Media reserves the right to retain any work product or files until outstanding invoices are settled.
8. Warranties
8.1. Atlaz Media warrants that all services will be performed professionally and with reasonable skill aligned with creative industry standards.
8.2. We do not guarantee specific outcomes (e.g., engagement rates, sales increases) as results depend on external factors beyond our control.
9. Liability
9.1. Atlaz Media is not liable for any indirect, incidental, or consequential damages, including lost revenue or business disruptions, resulting from the use or inability to use our services.
9.2. Our total liability, if any, will not exceed the total fees paid by the client for the project in question.
10. Governing Law
10.1. These terms are governed by the laws of Los Angeles, California.
10.2. Any disputes shall be resolved exclusively in the courts of Los Angeles County, California.
11. Amendments
11.1. Any modifications to this agreement must be made in writing and agreed upon by both parties.
12. Entire Agreement
12.1. This document, along with any proposals or contracts, constitutes the full agreement between Atlaz Media and the Client and supersedes all prior communications.
By engaging Atlaz Media, you confirm that you have read, understood, and agreed to these Terms and Conditions.
